USER AGREEMENT

BIOVISION DIAGNOSTICS AT-HOME COVID-19 PCR TEST USER AGREEMENT
This User Agreement (“Agreement”) constitutes a legally binding agreement between you and Biovision Diagnostics LLC and its affiliates and subsidiaries, including Biovision Diagnostics LLC, (collectively, "Biovision Diagnostics", "we", "us" or "our"). This Agreement governs your access and use of the Biovision Diagnostics website and online services (the “Site” and the “Services”). Note that Section 13 of this Agreement contains a mandatory arbitration provision that requires the use of arbitration on an individual basis and limits the remedies available to you in the event of disputes or claims in connection with this Agreement or the Site. Our Terms and Conditions governing access to and use of websites and online applications operated by Biovision Diagnostics LLC are a part of this Agreement and are incorporated by reference. By agreeing to this Agreement, you agree that you understand and agree to be bound by the Terms and Conditions with respect to your access to and use of the Site. In the event of any inconsistency between this Agreement and the Terms and Conditions, this Agreement shall govern with respect to your access to and use of the Site. 1. Description of the Site
Biovision Diagnostics is providing the Site so that you can educate yourself on health care and medical issues that may affect your daily life. Information provided to you through the Site should not be regarded as medical or health care advice or treatment. Always seek the advice of your physician or other qualified health care provider with any questions you may have regarding interpretation of your laboratory test results, a medical condition, or other health related issues. In the case of a health emergency, seek immediate assistance from emergency personnel. Never delay obtaining medical advice or disregard medical advice because of information you accessed on or through the Site.
2. Changes to this Agreement
Biovision Diagnostics may, at any time and from time to time, supplement, amend, or otherwise change this Agreement. Any changes to this Agreement will be effective immediately upon providing notice of the changes to you either when you log in to the Site or by sending notice of the changes to contact information that you have provided to us. You agree to comply with, and be bound by, the modified Agreement either (i) by continuing to use or access the Site after receiving notice of the changes as described above or (ii) by not requesting to terminate your Site account within seven (7) calendar days after receiving a notice of the changes as described above.
3. Changes to the Site
Biovision Diagnostics may add features to or delete features from the Site at any time, without notice to you.
4. Right to Use the Site
By agreeing to this Agreement, you confirm that you are a resident of the United States and are at least 18 years of age. You warrant and represent that all of the information you provide is correct including your state of residence, and that you are using the Site for yourself and agree not to use the Site to initiate a lab test request for another person. You agree not to resell the Services provided hereunder. By initiating testing through the Site, you are requesting that results be reported directly to you. You agree to comply with this Agreement, the Terms and Conditions, all applicable laws, and other applicable Biovision Diagnostics policies, practices, and notices provided or referenced herein at all times when using the Site. Biovision Diagnostics retains the right to block or otherwise prevent delivery of any type of e-mail or other communication to or from the Site as part of our efforts to protect the Site, protect our patients, or stop you from breaching this Agreement.
5. Privacy Statement and Notice of Privacy Practices
Our Privacy Statement and, with respect to Protected Health Information, our Notice of Privacy Practices describe how Biovision Diagnostics collects information about you through Services, and how we use, disclose, and protect that information.
6. Payment
For all testing ordered, a valid credit card number, expiration date, and card security code is required for all purchases. If we are unable to charge the full cost of your purchase to the credit card you provide, we may cancel your order or request an alternate form of payment. Biovision Diagnostics’ designated payment processor will collect your payment information and related personal information for its use in processing your payment for the products or services ordered by you. You are solely responsible for all charges and applicable fees (including delivery charges, taxes and any fees assessed by your bank) associated with your order.
All testing from Biovision Diagnostics may include the cost of physician services from Cynergy Wellness Incorporated. Biovision Diagnostics reserves the right to change, suspend, or discontinue all or any aspects of the Site at any time without prior notice.
7. Purchase and Refund Policies
Refunds will be considered upon request and are only in accordance with the Biovision Diagnostics Refund Policy.

8. Right to Change Terms and Conditions
Content, prices, and availability of products and services are subject to change without notice. Errors will be corrected where discovered, and Biovision Diagnostics reserves the right to revoke any stated offer and to correct any errors, inaccuracies or omissions including after an order has been submitted and whether the order has been confirmed and your payment has been processed. If your payment has already been processed for the purchase and your order is canceled, Biovision Diagnostics’ designated payment processor will issue a credit to your account in the amount of the charge. Individual bank policies will dictate when this amount is credited to your account.
9. Reporting of Test Results to Local, State and/or Federal Authorities
You acknowledge and accept that the ordering physician and the laboratory may be compelled by law or regulation to report your laboratory result to the local, state, or federal health authority. For example, many states require the testing laboratory and physician to report test results for certain communicable diseases, such as COVID-19, to local or state health departments.
10. Retesting
You acknowledge and accept that test results outside of normal limits do occur and a physician may reorder lab tests for confirmation.
11. Arbitration and Class Action Waiver
PLEASE READ THE FOLLOWING SECTION CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE DISPUTES WITH BIOVISION DIAGNOSTICS ARISING IN CONNECTION WITH THIS AGREEMENT OR THE SITE AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US. YOU AND BIOVISION DIAGNOSTICS AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING IN ANY WAY TO THIS AGREEMENT OR THE SITE SHALL BE FINALLY DECIDED BY BINDING ARBITRATION UNDER THE CONSUMER ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. ARBITRATION USES A SINGLE, NEUTRAL ARBITRATOR TO DECIDE A DISPUTE (INSTEAD OF A JUDGE OR JURY); ARBITRATION ALLOWS FOR MORE LIMITED DISCOVERY THAN IN A COURT CASE; AND THE ARBITRATION PROCESS AND RESULT IS SUBJECT TO VERY LIMITED REVIEW BY COURTS. IN ARBITRATION YOU HAVE THE RIGHT, AT YOUR EXPENSE, TO BE REPRESENTED BY AN ATTORNEY OF YOUR CHOOSING. ARBITRATORS CAN AWARD THE SAME DAMAGES AND RELIEF UNDER THIS AGREEMENT THAT A COURT CAN AWARD UNDER THIS AGREEMENT. YOU AND BIOVISION DIAGNOSTICS AGREE THAT ANY IN-PERSON ARBITRAL HEARING WOULD OCCUR IN THE UNITED STATES IN THE SAME COUNTY AND STATE AS YOUR BILLING ADDRESS. BIOVISION DIAGNOSTICS FURTHER AGREES THAT YOUR FILING FEE FOR ARBITRATION WILL BE CAPPED AT THE AMOUNT SET BY THE AMERICAN ARBITRATION ASSOCIATION. YOU AGREE THAT, BY AGREEING TO THIS AGREEMENT, THE U.S. FEDERAL ARBITRATION ACT GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS PROVISION, AND THAT YOU AND BIOVISION DIAGNOSTICS ARE EACH WAIVING THE RIGHT TO PARTICIPATE IN A CLASS ACTION. THIS ARBITRATION PROVISION SHALL SURVIVE TERMINATION OF THIS AGREEMENT AND THE TERMINATION OF YOUR USE OF THE SITE. REGARDLESS OF THE FORUM, YOU AND BIOVISION DIAGNOSTICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. IF THIS SPECIFIC PROVISION IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID. THE ARBITRATOR MAY AWARD DECLARATORY OR INJUNCTIVE RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY’S INDIVIDUAL CLAIM.
12. Disclaimer of Warranty; Limitation of Liability

13. Choice of Law
This Agreement shall be governed by and construed in accordance with Illinois law, excluding its conflicts of laws principles, provided that Section 14 above shall be interpreted and enforced as set forth therein. The Uniform Computer Information Transactions Act does not apply to this Agreement.

CYNERGY WELLNESS, INC. USER AUTHORIZATION AND CONSENT AGREEMENT

1) Authorization and Consent for Covid-19 Testing
a) I voluntarily consent and authorize Cynergy Wellness Inc. to review the testing and analysis of my sample (or that of a minor for whom I am the parent/guardian) for the purposes of a COVID-19 Diagnostic test. I understand that there are risks and benefits associated with undergoing diagnostic testing for COVID-19, and that there may be a potential for false positive or false negative test results. I assume complete and full responsibility to take appropriate action with regards to my test results. Should I have questions or concerns regarding my results, or a worsening of my condition, I shall promptly seek advice and treatment from an appropriate medical provider. I further acknowledge the following:
i) I am the individual who will provide the sample for the Test(s) that I am requesting, or I am the parent or legal guardian of a minor who is providing the sample for testing.
ii) I am at least eighteen (18) years of age, or I am the parent or legal guardian of a minor who is providing the sample for testing.
iii) I have read and understand the information provided about the Test(s) that I have been provided on the website where I requested the Test. Additional information is also available at the CDC website https://www.cdc.gov/coronavirus/2019-ncov/index.html.
iv) The information I have provided in connection with Cynergy Wellness Inc. is correct to the best of my knowledge. I will not hold Cynergy Wellness Inc. or its health care providers responsible for any errors or omissions that I may have made in providing such information.
v) My health information and results may be shared with Cynergy Wellness Inc. providers, including physicians and administrative agents for purposes of providing care to me.
vi) Services provided by Cynergy Wellness Inc. does not constitute treatment of any condition, disease, or illness.

2) Patient Rights and Privacy Practices
a) Notice of Privacy Practices and Patient Rights: Cynergy Wellness Inc. Notice of Privacy Practices describes how it may use and disclose your protected health information for other purposes that are permitted or required by law. To review a copy of Cynergy Wellness Inc. b) Disclosure to Government Authorities: I acknowledge and agree that my test results and associated information to may be disclosed to appropriate county, state, or other governmental and regulatory entities as may be permitted by law.

3) Release
a) To the fullest extent permitted by law, I hereby release, discharge, and hold harmless, Cynergy Wellness Inc., including, without limitation, any its respective officers, directors, employees, representatives and agents from any and all claims, liability, and damages, of whatever kind or nature, arising out of or in connection with any act or omission relating to my COVID-19 Diagnostic test or the disclosure of my COVID-19 Diagnostic test results.
b) By selecting the ACKNOWLEDGEMENT during the registration process for COVID-19 Diagnostic Testing, I acknowledge and agree that I have read, understand, and agreed to the statements contained within this form. I have read the contents of this form in its entirety and voluntarily consent to proceed.

Once I order, how long will it take to receive my test?

If you place your order before 2 pm central time, your test will arrive the next day. If you place your order after 2 pm central time, your test will go out the following day for next-day delivery.

How long do I have to collect my sample?

Once you receive your test kit, you may collect your saliva sample whenever it’s convenient for you. But once you collect your saliva, you must send your sample back that day so it will arrive at our lab within 24 hours.

How do I send my sample back to your lab?

Your test kit will arrive with a pre-paid FedEx Express Pak, along with detailed shipping instructions.

Following those instructions carefully, you place your sample into the package and drop it off at any FedEx Express location or free-standing dropbox. For a list of FedEx Express locations and drop boxes nearest you, visit: local.fedex.com/en-us/

How many test kits can I order at one time?

You will receive one test kit per order placed, but you are able to place multiple orders at one time.

Each order must include the name, street address, phone number, email address, date of birth, gender, and race of the individual taking the test. If you would like more than one test kit, simply create a new order for each person.

How much saliva will I need to collect?

You only need to provide between 0.2 and 0.3 ml of saliva, filling the tube about an inch high, not including bubbles. The collection tube is clearly marked with two lines and you must fill until the level reaches at least the first fill line.

How accurate is this PCR test compared to the antigen tests I have seen?

The “gold standard” for clinical diagnostic detection of SARS-CoV-2 remains laboratory-based NAATs, or Nucleic Acid Amplification Tests.

This NAAT test uses a patented process that eliminates false positives and false negatives, giving you 100% confidence in your results and can detect any mutant variants that other PCR tests may miss.

While most antigen tests can provide results in 30 minutes or less, they are widely considered to be less sensitive (more false-negative results) compared to NAATs, especially among asymptomatic people. Any positive antigen test results require a follow-up PCR test for confirmation.

Will my insurance pay for this test and how do I file a claim?

No, Biovision Diagnostics does not currently accept or bill health insurance for these tests. Our At-Home COVID-19 tests are intended for:

      • Screening for Colleges, Universities, or Workplaces
      • Travel 
      • Events
      • Other personal reasons
I am traveling soon and need to provide a test result within 24 hours of my flight. When should I order my test and how long will it take to get my result?

The entire process from the time you place your order to the time you receive your result will take approximately 3-4 days.

A day to ship your kit, one day to ship back to the lab, and 24-48 hours to process and post your results.

Example: If you order your test on Monday, get it on Tuesday, collect your sample and ship it back so it arrives in our lab on Wednesday, you will have your results no later than Friday morning.

COVID-19 is caused by the SARS-CoV-2 virus. Infection with the virus can range from being asymptomatic to life-threatening respiratory illness. Infection has been detected globally and in all 50 states. Symptoms associated with COVID-19 include cough, shortness of breath or difficulty breathing, fever, chills, muscle pain, headache, sore throat or new loss of taste or smell.

COVID-19 can present with severe illness in individuals of any age and without any previous health problems, but the risk for severe illness from COVID-19 increases with age, with older adults at the highest risk. Having underlying medical conditions may also increase one’s risk for severe illness from COVID-19. Conditions and other risk factors that may be associated with severe illness and death are listed below.

If you have any symptoms concerning COVID-19 and any of the following conditions or risk factors, which may put you at increased risk of severe illness from COVID-19, you should consult with your healthcare provider before using this test:

    • Chronic kidney disease
    • COPD (chronic obstructive pulmonary disease)
    • Immunocompromised state (weakened immune system) from solid organ transplant or bone marrow transplant, immune deficiencies, HIV, use of corticosteroids, or use of other immune weakening medicines
    • Obesity (body mass index [BMI] of 30 or higher)
    • Serious heart conditions, such as heart failure, coronary artery disease, or cardiomyopathies
    • Sickle cell disease
    • Type 2 diabetes mellitus
    • Asthma (moderate-to-severe)
    • Cerebrovascular disease (affects blood vessels and blood supply to the brain)
    • Cystic fibrosis
    • Hypertension or high blood pressure
    • Neurologic conditions, such as dementia
    • Liver disease
    • Pregnancy
    • Pulmonary fibrosis (having damaged or scarred lung tissues)
